Greetings fellow SPSW members. Mark Gilbert, Ed White, John Howard and I have been reviewing and making recommended updates to our Chapter Bylaws. I have attached 2 PDF files: the markup of the Bylaws showing the proposed before and after wording along with comments and a clean copy of the proposed Bylaws with all of the proposed changes incorporated.

The proposed revised Bylaws will look like there is a significant amount of change, however a large part of these revisions are grammatical (extra spaces, missing spaces, incorrect punctuation, etc.) and clarification, i.e. after the Board of Directors is defined in Article V. A. as being referred to as "The Board" all following mentions of Board of Directors is revised to read "Board". 

Probably the most significant proposed revisions are:

1) Defining the "Registered Agent" as the current President and the "Registered Office" as the Current President's location (Article I. B.)
2) Codified that first time new member dues will be prorated, renewal dues are due by January 1 and the dues are considered delinquent after March 1 (Article III.)
3) Revise the requirement to belong to the AAW to only the four Officers (Article V. A. and Article VI. A. 3.)
4) Codifies that the Board may commit up to $1000 not approved in the budget without a vote of the membership (Article V. B. 7.)
5) Increase the Board from a maximum of 15 to a maximum of 17 members (Article V. C., Article V. H. and Article VII. C. 8.)
6) Add a requirement to develop a budget (Article V. B. h, Article VII. C. 4. f., and Article X)
7) Add a requirement for the President to appoint a Financial Review Committee (Article VII. C. 1. d.)
